Terms and Conditions of Start-up Partner Program
1. IDENTIFICATION, PURPOSE AND NATURE
- The Start-up Partner Program (hereinafter, the “Program”) is a free, limited-duration promotional initiative organised by AIMPLAS and aimed at companies that meet the eligibility requirements set out in these Terms and Conditions.
- The purpose of the Program is to facilitate participating companies’ access to certain AIMPLAS activities, training and content, as well as to encourage potential opportunities for technological collaboration.
- Joining the Program does not involve any registration fee or financial consideration, nor does it require the purchase of any services. It does not constitute certification, approval, validation or technical endorsement; nor does it create a corporate, employment, agency, representation, sponsorship or joint venture relationship; nor does it grant the legal status of an AIMPLAS member or any participation rights in its governing bodies.
- Participation is governed by these Terms and Conditions and, where applicable, by the specific terms and conditions governing each activity, service, platform or item of content. In the event of any conflict regarding a specific service or benefit, the relevant specific terms and conditions shall prevail, without affecting the free nature of participation in the Program.
2. ELIGIBILITY REQUIREMENTS
Companies may apply to join the Program if, on the date of application, they meet all of the following requirements:
- They were incorporated less than ten years ago.
- They carry out genuine and effective business activity.
- Their activities fall within AIMPLAS’s technological or sector-specific fields of expertise.
- They do not currently hold AIMPLAS membership status.
- They comply with all regulations applicable to their activities and do not use the Program for unlawful or fraudulent purposes or in any way that infringes the rights of third parties.
The company’s age will be assessed on the date of application. Reaching ten years since incorporation at a later date shall not, in itself, result in the loss of Startup Member status during the period already granted. All other requirements must continue to be met throughout the participation period.
Startup status is established solely for the purposes of this Program. It does not imply that the company has the legal status of an “emerging company” (“empresa emergente”) under Spanish Law 28/2022 of 21 December, nor does it constitute certification or recognition of such status by AIMPLAS.
The company guarantees that the information provided is truthful, accurate and up to date and must promptly notify AIMPLAS of any relevant circumstances that may affect its eligibility. AIMPLAS may request any information or documentation reasonably necessary to verify these matters.
Meeting the eligibility requirements does not create an automatic right of admission. AIMPLAS will assess each application in accordance with the Program criteria, its scope of activity and the information available, and may reject an application on justified grounds where these criteria are not met or where legal, reputational, security or conflict-of-interest risks exist.
3. APPLICATION, ACCEPTANCE AND REGISTRATION
- Applications must be submitted using the electronic form or other channel made available by AIMPLAS. Before accepting these Terms and Conditions, the company must be given the opportunity to view, download or retain the current version.
- Participation requires express acceptance, which may be provided by ticking an unticked checkbox on the application form or by replying affirmatively to an invitation email from AIMPLAS, provided that the email includes or links to the applicable version of these Terms and Conditions. The person accepting them declares that they have sufficient authority to act on behalf of the applicant company.
- Acceptance constitutes both an application to participate and a declaration that the eligibility requirements have been met. Participation shall only become effective once AIMPLAS confirms registration in writing. The start date and expiry date shall be those stated in that confirmation.
- AIMPLAS will retain evidence of the application, acceptance, the version accepted, confirmation of registration and the relevant dates. The Free Initial Assessment is not a requirement for participation in the Program.
- Consent to receive AIMPLAS’s general marketing communications shall be separate and voluntary, shall not be pre-selected and shall not be a condition of admission. Communications strictly necessary for managing participation shall not be considered marketing communications.
4. TERM, WITHDRAWAL AND TRANSITION TO AIMPLAS MEMBERSHIP
Participation shall last for one year from the start date stated in the registration confirmation. It will not renew automatically.
The company may withdraw from the Program at any time by writing to tam@aimplas.es. Withdrawal shall not give rise to any right to compensation, nor may unused benefits be converted into cash.
AIMPLAS may suspend or terminate participation early for any of the following reasons:
- Breach of these Terms and Conditions or of any specific terms and conditions applicable to a benefit.
- Loss of any eligibility requirement that must be maintained throughout the participation period.
- Provision of materially false, inaccurate or incomplete information.
- Fraudulent, abusive, transferred or unauthorised use of benefits.
- Unauthorised use of AIMPLAS trademarks, names, content or rights.
- Conduct that may cause legal, reputational, financial, technical or security-related harm to AIMPLAS or third parties.
- Discontinuation of the Program or inability to maintain it for duly justified legal, organisational, technical, financial or force majeure reasons.
Except in serious or urgent cases, suspension or early termination will be communicated in writing, specifying the reason and effective date. Where a breach can be remedied, AIMPLAS may grant a reasonable period in which to rectify it.
Startup Member status and AIMPLAS membership status cannot be held simultaneously. Any transition to AIMPLAS membership shall be subject to the relevant specific procedure and conditions and will require the corresponding acceptance; it will not take place automatically merely because certain contracting thresholds are exceeded. Once AIMPLAS membership becomes effective, participation in the Program shall end.
5. BENEFITS AND CONDITIONS OF USE
During the participation period, the company may access the following benefits, subject to availability, capacity, prior registration and the specific terms and conditions applicable to each activity:
- A minimum 20% discount on conferences, seminars and events organised directly by AIMPLAS, except for activities expressly excluded or jointly organised under third-party commercial terms.
- A 20% discount on AIMPLAS’s own training courses, except for exclusions communicated prior to registration.
- Free access to B’PLASTIC throughout the participation period, subject to its terms of use, intellectual property provisions, security requirements and technical availability.
Discounts shall be applied to the standard rate in force at the time of registration or contracting. They cannot be combined with other promotions, discounts or special rates unless expressly stated by AIMPLAS, nor shall they apply to taxes, fees, travel, accommodation, certifications, materials or third-party services unless otherwise stated.
Benefits have no cash value, cannot be exchanged or refunded and may only be used by the admitted company and by professionally affiliated individuals authorised by AIMPLAS. They may not be transferred, resold or extended to group companies, investee companies, customers or third parties without prior written authorisation.
The company must identify itself as a Startup Member when requesting a benefit. AIMPLAS may verify its active status before confirming the relevant registration, access or quotation.
6. CONTENT, INTELLECTUAL PROPERTY AND CONFIDENTIALITY
Participation does not transfer to the company any intellectual or industrial property rights belonging to AIMPLAS or third parties. Content and materials accessed through the Program may only be used in accordance with the terms authorised for each activity or platform and may not be reproduced, distributed, communicated publicly, resold or otherwise exploited outside those limits.
Participation in the Program does not, in itself, create a general confidentiality obligation or authorise either party to disclose confidential information. Where a collaboration requires the exchange of such information, the appropriate confidentiality terms shall be agreed in advance.
7. USE OF NAMES, TRADEMARKS AND PUBLIC COMMUNICATION
- Participation does not authorise the company to use AIMPLAS trademarks, logos, trade names, graphic elements or other distinctive signs without prior express authorisation.
- The company may truthfully communicate its current status as a Startup Member, provided that it does not misrepresent the nature or scope of the relationship. It may not state or suggest that AIMPLAS certifies, approves, validates or endorses its products, services or technologies, or that any sponsorship, representation or AIMPLAS membership relationship exists.
- AIMPLAS will not publicly use the company’s name, logo, images, testimonials, commercial references or success stories for promotional purposes without the relevant authorisation or other applicable legal basis. Specific authorisations may define the purpose, media, territory and duration of such use.
8. PERSONAL DATA PROTECTION
The data controller is ASOCIACIÓN DE INVESTIGACIÓN DE MATERIALES PLÁSTICOS Y CONEXAS (AIMPLAS), Spanish Tax Identification Number (NIF) G46714853, with registered address at Calle Gustave Eiffel, 4, 46980 Paterna (Valencia), Spain. AIMPLAS may be contacted at dpo@aimplas.es.
Identification, contact and professional data relating to individuals involved in the application or management process will be processed for the purposes of assessing eligibility, processing and maintaining participation, managing benefits and access, sending operational communications, preventing misuse, complying with legal obligations and addressing or defending against potential liabilities.
The legal basis for processing is the taking of pre-contractual measures at the request of the data subject and, where the data subject is a party to the relationship, performance of the relevant contract or relationship (Article 6(1)(b) GDPR); the legitimate interests of AIMPLAS and the participating company in maintaining their professional relationship in respect of representatives and contact persons (Article 6(1)(f) GDPR and Article 19 of Spain’s Organic Law on Data Protection and Guarantee of Digital Rights – LOPDGDD); and compliance with legal obligations (Article 6(1)(c) GDPR). General marketing communications shall be based on consent where required, and such consent may be withheld or withdrawn at any time without affecting participation.
Data will be retained for the duration of participation in the Program and, following its conclusion, will be duly restricted for the periods required to comply with legal obligations or address potential liabilities. Service providers acting on behalf of AIMPLAS as data processors may have access to the data. Data will only be disclosed to third parties where necessary to provide a requested benefit or where required by law. Any international data transfers, should they occur, will be carried out using the safeguards required by applicable legislation.
Data subjects may exercise their rights of access, rectification, erasure, objection, restriction of processing and data portability, where applicable, by writing to dpo@aimplas.es or to the postal address stated above. They may also lodge a complaint with the Spanish Data Protection Agency (Agencia Española de Protección de Datos – AEPD) at www.aepd.es.
Where the company provides personal data relating to other individuals, it guarantees that such data is appropriate and relevant for managing the Program and that those individuals have been informed of the processing or have been given access to this clause.
9. AVAILABILITY AND LIABILITY
AIMPLAS will endeavour to provide the benefits under the terms announced but does not guarantee uninterrupted availability of activities, places, platforms or content. AIMPLAS may make reasonable adjustments for organisational, technical or security reasons, or for circumstances beyond its control, and will communicate such adjustments where relevant.
The Program does not guarantee business results, funding, contracts, commercial success or access to future collaborations. Without prejudice to liabilities that cannot legally be excluded, AIMPLAS shall not be liable for interruptions or failures caused by force majeure, the actions of third parties or circumstances beyond its reasonable control.
The company shall be responsible for the use of benefits and credentials by individuals to whom it has granted access, as well as for any damage resulting from use contrary to these Terms and Conditions or applicable legislation.
10. AMENDMENT OR TERMINATION OF THE PROGRAM
AIMPLAS may amend these Terms and Conditions for legal, organisational, technical or financial reasons. New versions shall apply to applications submitted from the date on which they enter into force.
If an amendment materially affects the rights or obligations of companies already admitted to the Program, AIMPLAS will provide reasonable advance notice and offer them the opportunity to withdraw before the amendment becomes applicable. Changes required by law or necessary for security, fraud prevention or force majeure reasons may be applied immediately.
Amendments to or termination of the Program shall not have retrospective effect on benefits already confirmed, unless maintaining such benefits is impossible or would be contrary to a legal obligation, security requirements or a force majeure event.
11. COMMUNICATIONS
Communications relating to applications, registration, management, amendments, suspension, withdrawal or expiry may be sent by email to the address provided by the company. The company must keep its contact details up to date and notify AIMPLAS of any changes at tam@aimplas.es.
12. GOVERNING LAW AND JURISDICTION
These Terms and Conditions shall be governed by Spanish law. Any dispute arising from their interpretation or application shall be submitted to the courts and tribunals of Valencia, Spain, unless mandatory legislation provides otherwise.
If any provision is found to be invalid or unenforceable, this shall not affect the validity of the remaining provisions. Failure to exercise any right shall not constitute a waiver of that right.
13. ACCEPTANCE AND APPLICABLE VERSION
Participation requires the express and full acceptance of these Terms and Conditions. The version made available to and accepted by the company on the date of its application shall apply, subject to any amendments made in accordance with Section 10.
